NATURE OF THE SERVICE AND INTERMEDIATION MODEL

Mr Urbina Black Shop is a brand operated by Asterisco Amarelo Lda and functions as a digital platform dedicated to the commercialization of creative merchandise incorporating original designs developed within the Mr Urbina creative ecosystem.

The primary activity of Asterisco Amarelo Lda consists of the creation, ownership and management of original graphic works developed under the Mr Urbina brand, as well as the technological and operational administration of the digital platform through which these designs are made available to the public.

Asterisco Amarelo Lda does not operate as an industrial manufacturer of the physical goods offered on the platform. The products are manufactured on demand by specialized production partners who execute the physical manufacturing and printing processes in accordance with the digital design files supplied.

Consequently, the contractual relationship established with the customer involves, on the one hand, the acquisition of a physical product incorporating an original artistic work owned by Mr Urbina and, on the other hand, the provision of technological management and operational coordination services that enable the fulfillment of the order.

The amount paid by the customer includes, in an integrated manner, the authorized use of the original design incorporated into the product, the digital platform management service and the costs associated with on demand production carried out by specialized third party partners.

Asterisco Amarelo Lda receives remuneration for the commercialization of original creative works developed under the Mr Urbina brand and for the comprehensive management of the digital ecosystem that allows each order to be produced and delivered, without thereby assuming the role of direct manufacturer of the physical product.

All designs commercialized under the Mr Urbina Black Shop brand are original works created within the Mr Urbina creative framework and are the exclusive intellectual property of Asterisco Amarelo Lda.

Unauthorized reproduction, distribution, modification, digital extraction or commercial exploitation of these designs is strictly prohibited. The purchase of a product does not imply the transfer of intellectual property rights over the incorporated design, and authorization is strictly limited to the personal use of the purchased item.

Under this intermediation structure, Asterisco Amarelo Lda coordinates the relationship between the customer and the production partner responsible for the material manufacturing of the product. The company manages the digital platform, oversees operational coordination and facilitates communication related to the order when necessary.

However, the physical manufacturing, printing processes and primary logistics operations are executed by specialized third party operators acting independently.

The liability of Asterisco Amarelo Lda is limited to the proper administration of the digital platform, the ownership of the designs commercialized and the appropriate coordination of the order management process.

Under no circumstances shall Asterisco Amarelo Lda be interpreted as assuming the role of industrial manufacturer or principal logistics operator beyond the responsibilities expressly established in the applicable terms and conditions.

This digital creative intermediation model constitutes the operational foundation of Mr Urbina Black Shop, establishing a structure comparable to modern technology platforms that connect original creative design, on demand production and the final customer through an integrated coordination framework.
